Terms of Service

1. Eligibility & accounts

• You must be at least 18 years old and capable of forming a binding contract under the Indian Contract Act, 1872.
• You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your account and login (OTP).
• You are responsible for all activity under your account. Notify us immediately of any unauthorised use.

2. The service

Sparelab is a procurement platform that facilitates the discovery, quotation, ordering, payment and delivery of automotive spare parts between customers and a network of vetted vendors. We may act as an intermediary and/or reseller depending on the transaction. Product availability, specifications and pricing are subject to confirmation in the quote.

3. Quotes, orders & pricing

• A quote is an offer valid for the period stated on it. Prices are in Indian Rupees (INR) and, unless stated otherwise, are inclusive of applicable taxes.
• An order is formed when you accept a quote and complete payment (or an approved payment arrangement). We reserve the right to accept or decline any order.
• We make reasonable efforts to ensure part accuracy, but you are responsible for confirming vehicle fitment details (make, model, trim, VIN) provided to us.

4. Payments

Payments are processed through third-party payment gateways. By paying, you authorise the applicable charge. An order is confirmed to the vendor only after payment is verified. See our Refund & Cancellation Policy and Shipping & Delivery Policy for details.

5. Vendor obligations

Vendors on the Platform warrant that the parts they supply are as described, genuine or of the represented quality tier, lawfully sold, and free from defects in material and workmanship except as disclosed. Vendors must honour agreed timelines and the applicable warranty.

6. Acceptable use

You agree not to:

• Use the Platform for any unlawful, fraudulent or infringing purpose.
• Post false, misleading or counterfeit listings, or misrepresent part quality or origin.
• Attempt to breach security, scrape data, reverse-engineer, or disrupt the Platform.
• Circumvent the Platform to solicit or complete transactions off-Platform in a way that avoids applicable fees or protections.

7. Intellectual property

The Platform, including its software, design, trademarks and content, is owned by or licensed to Sparelab and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purpose. You may not copy, modify or create derivative works without our written permission.

8. Warranties & disclaimers

Except as expressly stated, the Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. Product warranties, where applicable, are provided by the vendor or manufacturer.

9. Limitation of liability

To the maximum extent permitted by law, Sparelab shall not be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits or data. Our aggregate liability for any claim arising out of or relating to the Platform shall not exceed the amount you paid for the specific order giving rise to the claim.

10. Indemnity

You agree to indemnify and hold Sparelab harmless from claims, losses and expenses arising out of your use of the Platform, your breach of these Terms, or your violation of any law or third-party right.

11. Suspension & termination

We may suspend or terminate your access if you breach these Terms or use the Platform in a manner that is harmful, fraudulent or unlawful. You may stop using the Platform and request account closure at any time.

12. Governing law & disputes

These Terms are governed by the laws of India. Subject to applicable law, the courts at Bengaluru, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform.

13. Changes to these Terms

We may revise these Terms from time to time. The updated version takes effect when posted with a revised "Last updated" date. Continued use constitutes acceptance.
